Terms and Conditions
Please read them carefully. Your use of this site indicates your acceptance of these terms and conditions. Your submittal of any purchase order indicates your acceptance of these terms and conditions. These terms and conditions shall supersede any earlier terms and conditions included with any purchase order. Omni R&D reserves the right to make changes to this site and these terms and conditions at any time.
Acceptance
All orders are subject to and expressly conditioned upon these terms and conditions. No variation will be binding unless agreed to in writing by an authorized representative of Omni R&D.
Changes
Purchase orders may only be changed or amended by written agreement outlining the specific changes and impact on price or delivery time. Orders cannot be cancelled without Omni R&D's express written consent.
Delivery, Claims, Delays
All sales are FOB our facility, unless otherwise noted. We reserve discretion in shipment method. Risk of loss or damage passes to buyer upon delivery to carrier. We are not liable for delays beyond our control, including issues with manufacturing, suppliers, or force majeure events.
Payment
We accept major credit cards. Payment is due in full before shipment. For approved accounts, net 30 day terms may be extended upon request. Late payments accrue interest at 1.5% monthly. We reserve the right to change payment terms if account becomes overdue.
Taxes
Any sales, use, or other taxes are the responsibility of buyer. If we pay any required taxes, buyer shall reimburse us. Buyer can provide a valid tax exemption certificate to waive taxes.
Order Changes
To change an order, promptly notify us in writing prior to shipment. We reserve the right to adjust price and delivery time for changed orders. Custom, built-to-order, or customized items may not be cancelled once ordered.
Shipping
Shipping costs are FOB our facility. Typical delivery is within 5 business days after receipt of full payment unless stated in the quotation. Delivery timeframe and carrier options depend on product availability and destination. International shipping available upon request.
Returns & Exchanges
Contact us within 15 days to request return authorization for unopened items. Returned items must be unused in original packaging. We reserve the right to charge restocking fees up to 25%, inspect returns, and deny refunds for used items. Exchanges subject to availability. Custom products are not returnable.
Warranties
We warrant products will substantially conform to our published specifications. We make no other warranties express or implied. This warranty does not apply if buyer misuses or modifies the product or uses it outside of applicable industry standards. Our liability is limited to replacement or refund at our discretion. We are not liable for indirect, incidental, or consequential damages. Warranty claims must be made within 1 year of delivery. Consumable components are excluded.
Compliance
Products comply with applicable laws and regulations. If exporting, buyer assumes responsibility for compliance with export regulations.
Governing Law California law shall govern any disputes, and venue shall be in appropriate California state or federal courts. The CISG does not apply.
